3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information when requested
  • Maintain the confidentiality of any account credentials
  • Comply with all applicable email marketing laws and regulations
  • Ensure all subscriber lists are permission-based and comply with anti-spam laws
  • Provide timely feedback and approvals for campaigns
  • Pay for services according to the agreed payment terms

4. Anti-Spam Compliance

You agree that all email marketing activities conducted through our services will comply with:

  • CAN-SPAM Act (United States)
  • GDPR (European Union)
  • CASL (Canada)
  • Any other applicable email marketing regulations

We reserve the right to refuse or terminate services if we believe email practices violate anti-spam laws or could harm our reputation.

5. Intellectual Property

Our Property

All content on our website, including text, graphics, logos, and software, is the property of Expanra and is protected by intellectual property laws.

Client Materials

You retain ownership of all content, data, and materials you provide to us. By providing materials, you grant us a license to use them solely for the purpose of delivering our services.

Deliverables

Upon full payment, you will own the email templates, copy, and other deliverables created specifically for your campaigns, unless otherwise specified in your service agreement.

6. Payment Terms

Payment terms are outlined in your specific service agreement. General terms include:

  • Payments are due according to the schedule in your service agreement
  • Late payments may incur additional fees
  • We reserve the right to suspend services for overdue accounts
  • Refunds are handled on a case-by-case basis

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, subscriber data, and campaign performance data.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid for services in the preceding 12 months
  • We are not responsible for third-party email service provider outages or issues

9. Indemnification

You agree to indemnify and hold harmless Expanra from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your email marketing practices
  • Content you provide for campaigns
  • Your violation of any applicable laws

10. Termination

Either party may terminate the service agreement:

  • With 30 days written notice for ongoing services
  • Immediately if the other party materially breaches these Terms

Upon termination, you will receive any completed deliverables paid for, and we will return any confidential materials.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of war, or internet service disruptions.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify clients of significant changes. Continued use of our services after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with any service agreement, constitute the entire agreement between you and Expanra regarding our services.
